Inmigración a los Estados Unidos basada en la Creación de Empleos (Employment Based Immigration –EB). Categoria 5, Inversionista. Análisis Legal y Palabras Claves

EB-5.  Creación de Empleos (Inversionistas). Basada en la “21st Century Department of Justice Appropriations Act” del 2 de noviembre de 2002.

Concepto: La visa EB5 permite la residencia condicional a personas que invierten $1 Millón (o en ciertas circunstancias $0.5Millón) en una empresa comercial nueva que emplee a 10 trabajadores a tiempo completo y se dedique a la gerencia de la misma (day-to-day management) o a la formulación de las políticas de la misma (policy formation).

Residencia Condicional: Se otorga una residencia condicional por dos años y al final de ese periodo se puede remover la condición demostrando que se crearon los empleos requeridos mediante la inversión aportada a la empresa comercial.

Tipo de Empresa: Sociedades limitadas (limited partnerships), compañías holding o sus subsidiarias, siempre que estas sean con fines de lucro (for profit business).

Empresa “nueva”: No es necesario que el inversionista constituya la empresa, este puede invertir en una empresa previamente constituida. Basta que haya sido creada después del 29 de noviembre de 1990.

En todo caso, las empresas creadas anteriormente a la fecha mencionada serán consideradas “nuevas” a los efectos de la ley en ciertas circunstancias muy puntuales dependiendo si han sido reestructuradas o reorganizadas con el objeto de crear una nueva empresa  o han sido expandidas de manera que haya ocurrido un cambio substancial en su valoración neta o su número de empleados.

Inversión (Monto): Se invierte o está en proceso de invertir, un capital de $1M (un millón de dólares); o $0.5M (medio millón de dólares) si la inversión se hace en un área de empleo destinada (target employment area o TEA) como por ejemplo, un área rural de menos de 20 Mil habitantes o un área que haya tenido un desempleo de por lo menos 150% del promedio nacional.

Tipo de Inversión: Dinero en efectivo, equipos, inventario, propiedades tangibles, equivalentes de efectivo (cash equivalents) y deuda garantizada por bienes propiedad del inversionista, siempre y cuando el inversionista tenga responsabilidad personal y directa, y que los bienes de la nueva empresa no sean usados como garantía.

Un préstamo o cualquier arreglo de deuda ente el inversionista y la nueva empresa no constituye inversión para esta visa.

Para que la inversión sea considerada como tal la misma debe “tener el propósito de generar un retorno económico sobre el capital sometido a riesgo”. Por ello, los pagos de ciertos gastos de la sociedad no constituyen una inversión para efectos de la ley.

El capital invertido deberá estar valorado en moneda Dólares de los Estados Unidos de América (US$) y al valor de mercado actual (fair market value) en el caso de los equivalentes de dinero efectivo.

La inversión puede provenir de cuentas conjuntas que el inversionista tenga con su cónyuge, pero no se extiende a cuentas conjuntas con otros miembros de su familia. El inversionista debe demostrar que la inversión proviene de cuentas a su nombre. Debe demostrar el origen del dinero o propiedad usada en la inversión.

Clave: No se permiten cooperativas de inversionistas.

La inversión debe ser hecha en UNA empresa nueva y no se pueden combinar varias empresas creadas para lograr la remoción de la condición en la visa (al final de los primeros dos años). Esto es a los efectos de los 10 empleos requeridos ya que pudiera pensarse que se permite invertir en dos o tres empresas que conjuntamente produzcan los empleos requeridos.

Riesgo e Inversión:

Pagarés (Promissory Notes). Un pagaré no garantizado no califica como inversión. El inversionista debe demostrar que el pagaré (o nota promisoria) está respaldado o garantizado con bienes de su propiedad (ubicada en los Estados Unidos). El valor del pagaré, a los efectos de la inversión, se entiende su valor de mercado actual y no su valor nominal, y el mismo se determinará desde el momento que ocurre la inversión hasta que se solicite la remoción de la condición (a los dos años).

Conclusión

La visa EB-5 permite la inmigración a los Estados Unidos a personas que inviertan $1 millón y en ciertos casos $500 mil, en negocios que directamente logren la creación de por lo menos 10 empleos directos.

Venezuelan Attorneys and Lawyers around the World



The recent political instability situation in Venezuela has caused many Venezuelans to cross the country's borders to find other places to work and live in peace. Those of us who make our living as lawyers have not been an exception to this reality, and although this transition has been difficult in many cases, mainly because of the difficulty of validating the professional title or to sit for the bar exam in those other countries, many colleagues have been able to work within their profession. A few have been lucky enough to be able to do an LL.M or take some courses in comparative law, as in our case, and obtain certain permits or licenses in those other jurisdictions, even passing the bar exam in some states that allow so. Some others a little less fortunate, have had access only to non-attorney legal jobs, like paralegals, as they are called in the United States and Canada.

In Spain, for instance, foreign lawyers are allowed to "re validate" their law degree, and practice law as a local professional. This requires studying not only the Spanish Civil Law but also the laws called "derecho foral", which applies to the different regions or communities that make up the Kingdom of Spain. We know of colleagues who have gone to work in countries like Italy and Portugal, where not only they have had to learn its laws and regulations, but also new languages like Italian and Portuguese, respectively. In the U.S. and Canada, our fellow Venezuelan attorneys have adapted to the current situation working to meet the legal needs of many Venezuelans who have immigrated there and need the advice of their lawyers in matters like their immigration documents and work permits, or their contracts for the purchase of a house, or even a business.

    The U.S. and Turkish governments are offering and working on many initiatives to INCREASE AND SUPPORT trade relations between the two countries.
    According to Foreign Secretariat of the Turkish Republic Prime Ministry for Foreign Trade, the yearly basis support limit for the foreign-based businesses has been raised to $120,000 for industrial companies and to $100,000 for trade companies.
    In the same initiative, the yearly basis support limit for office/showroom/depot-storages has been raised from $50,000 to $100,000 for industrial companies and from $40,000 to $75,000 for trade companies.  The basis support ratio for rent expenses has been raised from 50% to 60% for the overseas units of industrial and trade companies.  The support period has been raised from 3 years to four years.

    The support limit for representative offices is $150,000 per country for the companies that have units abroad.  The representation support limit for companies that do not have an overseas unit but have trademarks registered in the foreign country has been raised to $250,000.

    The maximum support limit for trademark registration and preservation has been raised from $20,000 to $50,000.  The government will support trademarks covered by a domestic trade registration certificate; expenditures for trademark/patent bureau service & consulting; and costs of inspection, investigation, advocacy and other mandatory expenditures for the preservation of the trademarks.

    In October 2010, Sueda Sonmez (sueda@karalaw.com) joined us as our Marketing and Business Development Director to reach beyond borders and promote Turkish-American business relations.  She brings over fifteen years of dynamic management and business development experience and accomplishments in progressive positions to KLG.  Her diverse background includes client relations management, e-commerce, mortgage banking, international institutional investor public relations, investment banking compliance, business development and project management for private sector.

    Related to her responsibilities at our firm now, in 2005-2007 she managed a project for ABFT, American Business Forum in Turkey opening doors for initial relations between Manhattan Chamber of Commerce and Istanbul Chamber of Commerce to help build bilateral business relations between the American and Turkish small to medium size enterprises (SME).  The "Investment Opportunities and Business Environment in Turkey" conference that she organized for World Trade Week’06 in New York City brought Istanbul Chamber of Commerce and Manhattan Chamber of Commerce together, having ICOC Chairman and MCC President as speakers. The initiative was the first time for Turkey to participate in the WTW'USA since its inception by President Roosevelt in over 70 years. She was the catalyst for Turkish Trade Attaches to join the week long events in New York and for both chambers to develop and build extensive working relations which led to NY State Chamber of Commerce to open an investment office in 2010 in Istanbul.
    A New Yorker for over 30 years, Sueda holds a BA in International Relations from Marymount Manhattan College and was the recipient of Gold Medal for "Outstanding Academic Performance and Achievement".   She has served in several executive committees; currently she is a member of BPW International/Ankara Chapter, serves at the Board of TKDF(Federation of Turkish Women Organizations) and a member of Raising Malawi, a children’s charity.


    We opened our Latin-American Practice on November 1, 2010.  The practice was conceived to provide counsel and representation to its Latin-American clients doing business in the United States, Hispanic/Latino-owned companies in the U.S., and domestic and international companies targeting the U.S. Hispanic/Latino market.     KLG AT CONFERENCES

    The 29th ATC (American Turkish Council) Annual Conference on U.S.-Turkish Relations took place on October 17-20, 2010 at the Ritz-Carlton Hotel in Washington D.C.  This is a very interesting and pivotal time in U.S.-Turkish relations, both politically and economically.  We attended the meetings and events and our presence was well received, both in and beyond DC.

    Turkey is a dynamic market to invest in and Turkish enterprises are eager to invest in the U.S.  Today, Turkey stands out as the 6th largest and the fastest-growing economy in Europe and 16th largest economy in the world.  During the conference, it was emphasized many times that Turkey is becoming the global finance and energy hub in the region. Attendees learned that “business and investment can become the new and major player in bilateral relations and in smoothing out some of the recurrent political turbulence.”  That requires the participation of the private sector more and more in both countries and integration of these companies with each other.

    Turkey holds many opportunities in bilateral business and trade investment for the upcoming 18 to 24 months for energy, real estate, agriculture, and renewable energy.  At KLG on a regular basis, we consult with, guide, and serve as a bridge for Turkish-American joint ventures.

    Immigration/Inmigración: H-1B Cap for 2011 Petitons - Se acerca al tope para las Peticiones de 2011

    The U.S. Citizenship and Immigration Services has announced that as of December 31, 2010 it had received 57,300 H-1B petitions out of the available 65,000 petitions for fiscal year 2011.

    It is anticipated that the USCIS will reach the limit for cap-subject petitions soon, and all employers who wish to file new H-1B petitions should act promptly to do so.

    El Servicio de Ciudadanía e Inmigración (USCIS) acaba de anunciar que al 31 de diciembre de 2010, había recibido un total de 57.300 peticiones de visa H-1B de un total de 65.000 peticiones disponibles para el ejercicio fiscal 2011.

    Latin America keeps growing despite the ongoing global recession

    Latin America experienced sustained economic growth in 2010 (approximately 4.5% according to predictions from The World Bank) despite growing deficits and slow economic recovery on both sides of the Atlantic. The reason is simple: Latin America is still very rich in natural resources, which developed economies and especially China, need for their own financial prosperity. Latin America, properly understood an approached, is a great place to do business and at this time only a small group of countries should be avoided as risky and not-business friendly.

    For such reasons, among others, the partners of Karaahmet Luz & Greenberg, a law firm in New York City, decided to offer their services to clients from Latin America and also counsel in Latin American law to North American and European individuals and corporations doing business in the region. Since November of 2010, the firm started said practice and has named Danilo Arsenijevith head of the Latin American Group.

    Back in the city I love: New York City

    I am very excited because I am ready to start a new chapter in my life. After almost seven years of absence, I am finally back where everything started: NYC! I will be of counsel with the prestigious law firm of Karaahmet Luz & Greenberg. I will be dealing with the Latin American Practice with folks from Latin America and Spain who are in need legal advice in New York or any of the other 49 states. Also, I will help US based clients with their legal necessities in Latin America and Spain, where I have an excellent group of lawyers ready to give their advice.
